These Terms and Conditions govern access to and use of Zorzen Studios websites, digital products, and services.

By using our services, you confirm that you have read and accepted these Terms and our Privacy statement. If you do not agree, you must not use our services.

Zorzen Studios provides digital products, technical services, and related content, including websites, mobile apps, and bot-based tools.

Our product portfolio includes (among others) Nivara, Nudge, and Drive with Bob, and may expand over time. We may modify, suspend, or discontinue features to improve reliability, security, or compliance.

If an account is required, you are responsible for safeguarding credentials and all activity under your account. We may suspend access where misuse or security risks are detected.

6. Fees, billing, and payment

Paid services are billed under the pricing and terms shown at checkout, proposal, or invoice. Unless stated otherwise, invoices must be paid within 14 days.

In case of late payment, we may suspend services and apply statutory interest and recovery costs as permitted by law.

7. Cancellation and refunds

For business customers, purchases are generally non-refundable unless agreed otherwise in writing. For consumers, statutory withdrawal rights apply where legally required.

If digital delivery begins with prior consent, the statutory right of withdrawal may be excluded to the extent allowed by law.

8. Intellectual property

All content, trademarks, designs, source code, and materials provided by Zorzen Studios are owned by or licensed to Zorzen Studios unless stated otherwise.

You receive a limited, non-exclusive, non-transferable right to use services for intended purposes. No ownership rights transfer to you.

9. Confidentiality

Each party must treat non-public business, technical, and customer information as confidential and use it only for fulfilling contractual obligations.

10. Warranties disclaimer

Services are provided on an "as is" and "as available" basis, unless expressly stated otherwise in a written agreement. We do not guarantee uninterrupted or error-free operation.

11. Limitation of liability

To the fullest extent permitted by law, Zorzen Studios is not liable for indirect, incidental, special, or consequential damages, including loss of profit, revenue, data, or goodwill.

Direct liability is limited to the amount paid by you for the relevant service in the 12 months before the event giving rise to liability, except in cases where limitation is not legally permitted.

You agree to indemnify and hold Zorzen Studios harmless from claims, damages, or expenses arising from your unlawful use of services or violation of these Terms.

Our services may link to or integrate third-party tools. We are not responsible for third-party content, availability, or policies.

We may suspend or terminate access immediately for material breach, unlawful activity, or security threats. Provisions that should survive termination remain in effect.

15. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Disputes are subject to the competent court in the Netherlands, unless mandatory law provides otherwise.
